Merchant Agreement

This draft describes the commercial responsibilities of fleet merchants that register on the PickPadi web dashboard to manage riders, bikes, dispatches, and order credits.

1. Merchant onboarding and verification

The merchant must provide accurate business, contact, settlement, and verification information, including corporate registration and authorised representative details where required.

PickPadi may pause or decline access while required checks are incomplete or where information appears inaccurate, and may re-verify periodically.

2. Dashboard use and account security

The web dashboard is for registered fleet merchants only. Merchants must keep credentials confidential, restrict access to authorised staff, and notify PickPadi promptly of any suspected compromise.

Riders and customers associated with a fleet operate through the PickPadi mobile apps and remain subject to the platform Terms of Service.

3. Order credits and pricing

Fleet operations are powered by prepaid order credits. One credit is consumed per completed delivery, according to the pack selected at purchase. PickPadi charges no percentage commission on delivery fees; riders and fleets keep 100% of customer-paid fares.

Credit packs are non-expiring unless otherwise stated at purchase. Savings shown against pack prices are calculated against the standard per-order rate.

4. Orders, riders, and service standards

The merchant is responsible for its riders' conduct, vehicle roadworthiness, accurate dispatch handling, timely pickups, lawful goods, suitable packaging, and correct use of OTP delivery confirmation.

Bulk or scheduled work must follow the formats and service requirements presented in the dashboard.

5. Payments, settlement, and reconciliation

Customer fares, escrow release, payout timing, refunds, failed-delivery adjustments, and reconciliation procedures follow the rules displayed in the dashboard and any agreed commercial schedule.

Merchants must maintain accurate settlement account details; PickPadi is not responsible for payouts misdirected due to incorrect information supplied by the merchant.

6. Data protection and customer information

Recipient and sender information may be used only to fulfil deliveries and resolve related support issues. Merchants must have a lawful basis to supply customer data and must protect it from unauthorised use, consistent with the Privacy Policy.

7. Suspension and termination

Either party may end the relationship according to agreed notice terms. Immediate suspension or termination may apply for fraud, prohibited goods, safety threats, misuse of OTPs or escrow, non-payment, material breach, or legal requirements.

On termination, unused credits are handled according to the credit terms displayed at purchase and applicable law.
